CORPORATE SOCIAL RESPONSIBILITY(CSR) POLICY

CONTEXT:

Green Gold Animation Private Limited (“Green Gold” or “the company”) is one of the leading Animation Companies in India. It has been a pioneer in creating wholesome entertainment for kids and is known for its hugely popular and path breaking original content. We established Green Gold in 2004 to provide boundless entertainment to people, especially children. Green Gold now covers diverse media like IPTV, E Commerce, applications for iTunes, android and windows. Now the company is initiating CSR activity which seeks to create sustainable well-being. The company is aiming to contribute to the sustainable development of the society and environment and to make our planet a better place for future generations. These initiatives are independent of the normal conduct of the company’s business.

OBJECTIVES:

Green Gold’s CSR policy intends to:

  • Strive for economic development that positively impacts the society at large.
  • To make significant and meaningful contribution with measurable benefits.
  • Green Gold’s CSR policy focus areas aim to be aligned with the activities prescribed in Schedule VII read with Clause 135 of the Companies Act, 2013.

FOCUS AREAS:

In accordance with the requirements under the Companies Act, 2013 the company’s CSR activities among others, will focus on:

  • Eradicating extreme hunger and poverty
  • Promotion of and encouragement for education
  • Ensuring environmental sustainability
  • Employment enhancing vocational skills

  • Establish kitchens that provide meals
  • Work with NPO to carry on other social welfare activities.
2 Promotion of education
  • Donation and/or contribution to educational institutions established for such purposes.
  • Conducting programmes for distribution of Books, stationery, lunch boxes, school bags and/or other accessories to promote and encourage education among under-privileged children in rural and urban areas.
  • Give annual scholarships to economically disadvantaged children.
  • Focus on girl-child education to help them build a better future for themselves.
  • Conducting programmes for creating awareness about importance of education.
  • This program and other similar programs will be implemented through Non-Government Organizations (NGOs) with relevant expertise and experience.
3 Ensuring environmental sustainability To initiate programs for:
  • E-waste management
  • Encourage afforestation
  • Diminish environmental degradation
  • Implement reduce, reuse and recycle etc.
4 Employment enhancing vocational skills
  • Setting up or providing aid to captive skill training centers in locations of interest to the corporate, typically urban slums and villages.
  • Providing sponsorship to students.

IMPEMENTATION:

  • The Board of Directors has constituted a Corporate Social Responsibility Committee (CSR Committee or the Committee) with two Directors of the Company.
  • The Committee shall identify programs/projects in which the CSR activities can be undertaken and recommend to Board from time to time.
  • The Committee shall recommend to the Board, at the beginning of the Financial Year the amount to be spent on CSR activities for the Financial Year or on a prior basis.
  • CSR Projects or Program would be implemented in the country through NGOs and selfimplementing agencies following the approval of CSR Committee.
  • Selection of NGOs and agencies will be based on contracting and procurement guidelines including due diligence. The CSR Committee would decide on the budget for each Project/Program and monitor the CSR policy from time to time.

LOCAL AREA PREFERENCE:

Since the company has offices in various cities in INDIA from where it operates viz., at Hyderabad, Mumbai and Chennai, preference for the purpose of carrying out CSR activities shall be given to states where such offices are located.

CSR EXPENDITURE:

This will include all expenditure incurred by the company directly or indirectly on CSR Programs undertaken by the company. Any surplus arising from any CSR Program shall be used for CSR activities or its implementation.
